PressBay Terms of Service
These Terms of Service (the “Terms”) govern access to and use of the PressBay sponsored article exchange (“PressBay”, “we”, “us”, “our”). By creating an account, listing a website, placing an order or using any feature of the platform, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use PressBay.
1. Accounts
1.1. Eligibility
Only natural persons or legal entities with the legal capacity to contract may create an account. By registering, you represent and warrant that all information you provide is accurate, complete and up to date.
1.2. Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You must notify us promptly if you suspect any unauthorized access or security breach.
1.3. Personal responsibility
You must not share your account with third parties or allow others to access PressBay using your credentials without proper authorization. You are responsible for all actions taken through your account.
2. Nature of the Service and Credit Model
2.1. Marketplace for sponsored articles
PressBay is a marketplace that allows publishers and marketers to exchange sponsored articles (“Sponsored Articles”) using an internal credit system (“Credits”). We provide the platform, tools and interface; we are not a party to individual agreements between publishers and advertisers.
2.2. Credits are not money
- have no monetary or cash value outside the platform;
- do not represent any claim against PressBay for money or equivalent;
- cannot be withdrawn, redeemed, sold, exchanged for real-world currency or transferred outside the platform.
2.3. Earning Credits
As a publisher, you earn Credits when you accept and successfully fulfil orders placed through the platform by publishing Sponsored Articles in accordance with the advertiser’s brief and these Terms.
2.4. Use of Credits
Credits can be used only to pay for Sponsored Articles that you order from other users inside PressBay. You cannot use Credits for any purpose outside the platform.
2.5. No cash withdrawals or payouts
PressBay does not offer any cash withdrawals or payouts. Credits cannot be converted into money or sent to a bank account, PayPal or any other payment method.
3. Marketplace Participation and User Content
3.1. Responsibility for listings and content
All listings, website descriptions, prices, briefs, Sponsored Articles and other materials submitted by users (“User Content”) remain the responsibility of the respective users. You are solely responsible for ensuring that:
- your User Content complies with applicable laws and regulations;
- you have all necessary rights (including copyright and trademark rights) to publish, sell or use the Sponsored Articles;
- your content and websites comply with any editorial rules, promises and policies you advertise to other users.
3.2. No guarantees by PressBay
PressBay does not review or approve every piece of User Content and does not guarantee its quality, legality, accuracy, SEO performance or commercial effectiveness. Any issues or disputes between publisher and advertiser should first be addressed directly between the parties. PressBay may, but is not obliged to, intervene or assist in dispute resolution.
3.3. Data and metrics
You are responsible for the truthfulness of any metrics or data (such as traffic, SEO metrics, audience information) you present to other users. Misrepresentation may lead to suspension or removal of your account and websites.
4. Minimum Publication Period for Sponsored Articles
4.1. Definition of Sponsored Article
For the purposes of these Terms, a “Sponsored Article” means any article, post or publication that a publisher agrees to publish on their website in exchange for Credits inside the PressBay platform.
4.2. Minimum Publication Period (12 months)
By accepting an order and publishing a Sponsored Article through PressBay, you agree to keep that article:
- publicly accessible on your website;
- indexable by search engines (no “noindex” meta tags and no blocking in robots.txt or equivalent); and
- not hidden behind paywalls, login walls or similar access restrictions,
for a minimum period of twelve (12) months from the date of publication (the “Minimum Publication Period”).
4.3. Prohibited changes during the Minimum Publication Period
During the Minimum Publication Period, you must not:
- delete the Sponsored Article;
- remove, substantially weaken or materially alter the agreed backlinks (for example by removing dofollow, changing the target URL to an unrelated page, or replacing the link with a competitor);
- move the article to a non-public or search-engine-blocked section of your site;
- edit the article in a way that materially removes or undermines the promotional value agreed with the advertiser.
4.4. Consequences of early removal or breach
If you delete a Sponsored Article or otherwise breach the obligations in Sections 4.2–4.3 before the end of the Minimum Publication Period, PressBay may, at its sole discretion, take one or more of the following actions:
- reverse and remove the Credits granted for the affected order(s) from your account;
- remove or deactivate your websites from the marketplace;
- remove, disable or request removal of Sponsored Articles that you have ordered on other websites using the Credits obtained from such breached orders;
- temporarily suspend or permanently ban your account and prevent you from creating a new one in the future.
These measures exist to protect other users and to maintain trust in the marketplace.
5. Platform Commission
5.1. Commission on completed orders
PressBay applies a platform commission of twenty percent (20%) to each completed order. The commission is automatically deducted from the Credits paid by the advertiser before the remaining amount is credited to the publisher.
5.2. Changes to commission
PressBay may update the commission percentage at any time through administrator settings or by publishing the new rate in the platform interface. Any change will apply only to orders created after the change is implemented.
6. Prohibited Conduct
6.1. Technical abuse
You must not:
- upload malware or malicious code;
- attempt to access the platform, data or other accounts without authorization;
- exploit vulnerabilities or attempt to bypass security measures;
- interfere with the normal operation of the platform.
6.2. Misrepresentation and fraud
You must not:
- misrepresent website metrics, traffic, quality or other key parameters;
- accept orders with the intention of deleting or significantly altering the Sponsored Articles shortly after publication;
- engage in fraudulent, misleading or deceptive conduct towards other users or towards PressBay.
6.3. Unlawful or harmful content
You must not use PressBay to:
- distribute spam, defamatory, hateful, discriminatory or otherwise unlawful content;
- promote illegal activities;
- publish content that violates third-party rights, including intellectual property rights, privacy rights or publicity rights.
6.4. Enforcement
PressBay may suspend, restrict or remove accounts, websites or specific content that we reasonably believe violates these Terms, applicable law or harms the platform or its users. We may also take actions described in Section 4.4 in cases of abuse.
7. Intellectual Property
7.1. PressBay rights
PressBay retains all rights, title and interest in and to the software, design, branding, trademarks, logos, databases and other proprietary materials made available on or through the platform. You may not copy, modify, distribute, reverse engineer or create derivative works of the platform except as expressly allowed by law.
7.2. User Content
You retain ownership of your User Content. By uploading or submitting content to PressBay, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display and transmit that content as necessary to operate the platform and provide services to you and other users.
7.3. Third-party rights
You are responsible for ensuring that your User Content does not infringe the intellectual property or other rights of third parties. If we receive a valid complaint or notice, we may remove or disable access to the allegedly infringing content.
8. Disclaimers and Limitation of Liability
8.1. “As is” basis
PressBay is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
8.2. No guarantee of results
We do not guarantee specific traffic, search engine rankings, SEO performance or commercial results from Sponsored Articles or campaigns executed through the marketplace.
8.3. Limitation of liability
To the maximum extent permitted by law, PressBay and its owners, employees and affiliates shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for loss of profits, revenue, data or goodwill arising out of or in connection with your use of the platform, even if we have been advised of the possibility of such damages.
8.4. Cap on direct damages
To the extent we are found liable in connection with your use of PressBay, our total aggregate liability shall be limited to the equivalent of the fees (if any) paid by you directly to PressBay during the three (3) months preceding the event giving rise to the claim.
9. Changes to the Terms
We may update or modify these Terms from time to time. The updated Terms will be posted on the platform with an updated “last updated” date. Your continued use of PressBay after the changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the platform and may request closure of your account.
